These Terms & Conditions of Sale (“Terms”) govern all quotations, orders and sales of products and services by World Star Tech (“Seller”) to the customer (“Buyer”). By placing an order, Buyer accepts these Terms, which prevail over any conflicting terms in Buyer’s documents unless agreed in writing.
1. Quotations & orders
Quotations are valid for the period stated on them, or 30 days if none is stated, and are not binding until Seller accepts a corresponding order in writing. Custom and made-to-order items are confirmed by written order acknowledgement.
2. Prices & payment
Prices are exclusive of taxes, duties, shipping and insurance unless stated otherwise. Unless agreed otherwise, payment terms are net thirty (30) days from invoice date. Late amounts may bear interest at the maximum rate permitted by law. Seller may require prepayment for first orders or custom work.
3. Delivery, title & risk
Delivery dates are estimates and not guaranteed; Seller is not liable for delays outside its reasonable control. Risk of loss passes to Buyer on delivery to the carrier. Title passes only upon full payment.
4. Inspection & acceptance
Buyer must inspect products on receipt and notify Seller of any shortage, damage or nonconformity within ten (10) days. Products not rejected within that period are deemed accepted.
5. Warranty
Seller warrants that products will materially conform to their published specifications for twelve (12) months from delivery, unless a different period is specified for a given product. This warranty does not cover misuse, improper handling, unauthorized modification, operation of laser products outside rated conditions, or normal wear. This is Seller’s sole warranty and replaces all others, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the extent permitted by law.
6. Returns & RMA
Returns require a Return Material Authorization (RMA) from Seller. Standard catalogue items may be returned within the RMA period in unused, resalable condition and may be subject to a restocking fee. Custom, modified and made-to-order items are non-returnable except for confirmed defects.
7. Laser safety & product use
Laser products can cause injury if misused. Buyer is responsible for safe installation, operation, labelling and compliance with applicable laser-safety regulations (for example IEC 60825 and, in the U.S., FDA/CDRH requirements) in Buyer’s jurisdiction and application.
8. Export control
Products and technical data may be subject to export-control and sanctions laws, including those of Canada and the United States. Buyer agrees not to export, re-export or divert products contrary to those laws and to provide any end-use or end-user information reasonably required for compliance.
9. Intellectual property
All designs, drawings, specifications and know-how supplied by Seller remain Seller’s property and may not be copied or disclosed without written consent.
10. Limitation of liability
To the maximum extent permitted by law, Seller’s total liability arising out of or relating to any order shall not exceed the price paid for the product or service giving rise to the claim. Seller shall not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data.
11. Force majeure
Seller is not liable for any failure or delay caused by events beyond its reasonable control, including supply shortages, labour disruptions, transport failures, natural events, or governmental action.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of Ontario have exclusive jurisdiction, without regard to conflict-of-laws rules.
